1. Agreement to Terms
By accessing or using AgentDeploy (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
AgentDeploy is a marketplace and deployment platform for AI agent templates. The Service allows:
- •Sellers to list and sell AI agent templates
- •Buyers to purchase and deploy templates to hosting providers
- •Secure code transfer via GitHub App middleware
- •Automated security scanning and verification
- •Service retainer agreements between buyers and sellers
3. User Accounts
To use certain features of the Service, you must register for an account.

4. Seller Obligations
If you list templates for sale, you agree to:
Required Obligations
- ✓Own or have rights to all code you submit
- ✓Ensure templates are free from malware and malicious code
- ✓Provide accurate descriptions and functionality claims
- ✓Maintain and update templates for compatibility
- ✓Respond to buyer support requests within stated response time
- ✓Comply with all applicable laws and third-party API terms
- ✓Not infringe on intellectual property rights of others
- ✓Submit templates for security scanning before listing
- ✓Not bypass platform fees or encourage off-platform payments
Prohibited Content
- ✗Malware, viruses, or malicious code
- ✗Stolen or plagiarized code
- ✗Templates that violate third-party terms of service
- ✗Templates designed for spam or fraud
- ✗Content that violates applicable laws
5. Revenue Share & Payouts
AgentDeploy facilitates payments between buyers and sellers with the following fee structure:

6. Buyer Protections
Buyers are protected by the following policies:
Refund Window
7-day refund window for template purchases (if not deployed)
Condition: Template must not have been deployed
Security Scanning
All templates scanned for malware before listing
Process: Automated + manual review for flagged templates
Version Locking
Prevents breaking changes from seller updates
Condition: Buyers opt-in to updates
Seller Support
Access to seller support for deployed templates
Condition: Response time as stated on seller profile
Dispute Resolution
Platform mediation for buyer-seller disputes
Condition: Submit within 30 days of purchase
7. Prohibited Conduct
You may not engage in the following prohibited activities. Violation may result in account suspension or termination.
- ✗Upload malware, viruses, or malicious code
- ✗Attempt to bypass security scanning or access controls
- ✗Harvest user data or credentials from templates
- ✗Create fake accounts to manipulate reviews
- ✗Resell or redistribute templates outside the platform
- ✗Reverse engineer or decompile platform code
- ✗Use the Service for illegal or unauthorized purposes
- ✗Interfere with or disrupt the Service infrastructure
- ✗Share off-platform payment links to avoid platform fees
- ✗Harass, abuse, or harm other users
- ✗Impersonate any person or entity
- ✗Spam or send unsolicited communications
8. Intellectual Property
Intellectual property rights are structured as follows:
Seller IP
Ownership: Sellers retain ownership of their template code
License Granted: By listing, sellers grant AgentDeploy a license to distribute, display, and transfer code to buyers
Scope: Non-exclusive, worldwide, royalty-bearing
Platform IP
Ownership: AgentDeploy retains all rights to the platform, middleware, security scanning, and deployment infrastructure
License Granted: Users receive limited license to use the Service
Scope: Personal, non-transferable, revocable
Buyer Rights
Ownership: Buyers receive a license to use deployed templates
License Scope: Personal or commercial use (as specified by seller)
Restrictions: Resale or redistribution requires seller permission
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:
- •Templates will be error-free or secure
- •The Service will be uninterrupted or available
- •Deployed agents will achieve specific results
- •Third-party hosting providers will maintain uptime
- •Security scanning will detect all vulnerabilities
Some jurisdictions do not allow disclaimer of implied warranties. In such jurisdictions, some disclaimers may not apply.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTDEPLOY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Liability Cap: Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.
Some jurisdictions do not allow limitation of liability. In such jurisdictions, some limitations may not apply.
11. Indemnification
You agree to indemnify and hold harmless AgentDeploy, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:
- •Your use of the Service
- •Your violation of these Terms
- •Your infringement of third-party rights
- •Your templates causing harm to buyers or third parties
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Termination Grounds

- •Non-payment of fees
- •Extended inactivity (12+ months)
- •Legal requirement
Effect of Termination: Upon termination, your right to use the Service will cease immediately. Provisions of these Terms which by their nature should survive termination shall survive.
Appeal Process: Users may appeal termination by emailing [email protected] within 14 days
13. Dispute Resolution
Disputes between users and AgentDeploy shall be resolved as follows:
Mediation
If informal resolution fails, parties agree to non-binding mediation
Location: Lisbon, Portugal (or virtual) | Timeframe: 60 days
Arbitration
If mediation fails, disputes resolved by binding arbitration
Rules: EU Arbitration Rules | Location: Lisbon, Portugal | Language: English
Class Action Waiver: Users waive right to participate in class actions
Small Claims Exception: Small claims court actions exempt from arbitration
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions.

EU consumers retain rights under local consumer protection laws
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification at least 30 days before implementation. Continued use of the Service after changes constitutes acceptance of new Terms.
